Terms of Service

Effective:

Agreement and contact

These Terms of Service govern your use of the Organize with AI website, desktop application, accounts, cloud features, hosted processing, and MCP services (together, the Service). By using the Service, you agree to these Terms. If you use the Service for an organization, you represent that you have authority to accept these Terms for it.

If you do not agree, do not use the Service. Questions about these Terms or the Service can be sent to support@organizewith.ai.

Eligibility and accounts

You may use the Service only if you can legally enter into this agreement. If applicable law requires permission from a parent, guardian, or organization, you must have that permission before using the Service.

Provide accurate account information, keep credentials and recovery methods secure, and promptly report suspected unauthorized access. You are responsible for activity authorized through your account, OAuth grants, developer keys, and connected assistants, except to the extent applicable law provides otherwise.

The Service

OwAI is a local-first photo and video organizer with optional downloaded models, hosted processing, cloud index synchronization, connected media sources, and MCP access for compatible assistants. Local desktop use does not require an account. Cloud features are choices with distinct data flows, as described in the Privacy Policy and product documentation.

The local media catalog, browsing, library-management interface, local indexing, and local search are currently free. Local and remote MCP, remote index sync, and hosted inference require Cloud Access. Cloud indexing, semantic or similarity search, and Reimagine can use separate prepaid credits; exact metadata search remains free under the current offering.

Purchases, Cloud Access, and credits

Prices, included features or credits, and applicable taxes are shown before checkout. Stripe processes checkout. Cloud Access is currently sold as a one-time purchase rather than a subscription. Under the current offering, its account entitlement and purchased credits have no scheduled expiration, and a future price change does not create a recurring charge for an existing one-time purchase.

Cloud Access is an access entitlement, not ownership of the Service, its software, or its infrastructure. The phrase permanent Cloud Access describes the absence of a scheduled entitlement expiration; it is not a promise that every feature, integration, provider, or hosted system will operate unchanged forever. If the Service or a purchased feature is changed or discontinued, any remedies and obligations remain subject to the purchase terms and applicable law.

If a purchase is incorrect or the Service does not work as described, contact support@organizewith.ai to request review. OwAI does not currently offer an automated or self-service refund process. A support request does not promise approval or a particular processing time. Nothing in these Terms limits a mandatory cooling-off period, refund right, legal guarantee, warranty, or other consumer remedy that cannot lawfully be limited.

License and ownership

Subject to these Terms, OwAI gives you a limited, non-exclusive, non-transferable right to install and use the Service for its intended purpose. You may not sell, sublicense, or redistribute proprietary portions of the Service unless OwAI gives permission. Open-source components remain subject to their applicable licenses. Rights to reverse engineer, inspect, or modify software that applicable law does not allow these Terms to restrict are not restricted.

You retain your rights in media, metadata, prompts, labels, and other content you provide. You authorize OwAI to process that content and send it to the providers used for a feature as needed to provide, secure, and support the feature you choose, comply with law, and enforce these Terms. Those providers handle received content under their own terms and policies. Connecting an assistant or media provider authorizes the transfers needed for that connection. OwAI does not receive ownership of your original media merely because the Service can access it.

Subject to rights in your inputs and applicable law, you may use generated output from the Service. Generated output can be inaccurate, non-unique, or similar to content generated for others, and these Terms do not promise that copyright or other exclusive rights exist in it.

Your responsibilities and acceptable use

Use only media, folders, accounts, and services that you have the right to access and process. Respect copyright, privacy, publicity, and other rights of people whose media or information you process, especially when labeling faces, sharing results with an assistant, or choosing hosted processing.

Do not use the Service to violate law or another person's rights; access another user's library or account without authorization; bypass access controls or usage limits; distribute malware; interfere with the Service or other users; probe for vulnerabilities without permission; misrepresent automated output as verified fact; or help others do those things. These restrictions do not prohibit security research, interoperability, or other activity that applicable law affirmatively permits despite a contractual restriction.

Assistants, connected services, and permissions

Assistants, identity providers, payment processors, model providers, and connected media services have their own terms and policies. OwAI is not responsible for those independent services. Review their terms and the permissions shown during connection before authorizing access.

An assistant acts on requests and permissions associated with your connection. An in-product permission switch does not itself expand an OAuth grant, and a successful sign-in does not prove every requested operation completed. You are responsible for reviewing proposed actions, keeping command identifiers where needed, and checking final results, subject to rights that applicable law gives you.

Automated results, deletion, and backups

Search rankings, visual matching, face recognition, duplicate scores, metadata, and generated images can be incomplete or wrong. Review results before relying on them or authorizing changes. Similarity is not proof that a file is safe to delete.

For deletion through MCP, preview the exact files and source-specific recovery information, then approve the specific plan before applying it. A queued or pending command is not a completed action. Local-folder deletions supported by OwAI keep recoverable original bytes for 30 days; smaller activity or recovery-journal metadata can remain after those bytes are purged. Apple Photos uses Apple's Recently Deleted process, and OneDrive uses Microsoft's recycle bin and retention rules. Recovery can fail when files, versions, locations, permissions, or metadata have changed.

The cloud index is not a backup of original media. Keep independent backups of important files and verify the result of exports, moves, deletions, and generated-media operations.

Availability and changes to the Service

Local models require compatible hardware, model downloads, storage, and supported software. Hosted features, accounts, remote indexes, connected providers, and previews depend on networks and third-party services. We do not promise uninterrupted or error-free operation, a particular response time, or compatibility with every device, file, codec, assistant, or provider.

We may add, change, suspend, or discontinue features to improve or secure the Service, comply with law, respond to provider changes, or operate the product sustainably. We will not use this provision to remove a non-waivable consumer right. Purchased access, credits, and discontinued features remain subject to applicable law and the commitments made at purchase.

Suspension, termination, and account closure

You may stop using the Service at any time and may disconnect assistants or supported providers using their available controls. OwAI does not currently offer self-service account or remote-index deletion; email support@organizewith.ai to request manual review. The request is not an automatic deletion process or a promise of a particular method or completion time. Removing the application, disabling sync, removing a media source, or revoking or disconnecting a connection does not necessarily delete local files, an account, purchase records, or existing remote catalog and index records.

We may restrict or suspend access when reasonably necessary to address a material violation of these Terms, protect the Service or another person, respond to fraud or security risk, or comply with law. Where appropriate, we will provide notice and a reasonable opportunity to resolve the issue. Termination does not erase rights or obligations that accrued before termination, and it does not limit remedies or access rights that applicable law requires.

Warranties and responsibility

To the extent applicable law permits, the Service is provided as is and as available, without promises that it will always be available, secure, error-free, or suitable for every intended use. You remain responsible for deciding whether automated results are appropriate for your purpose and for keeping suitable backups.

To the extent applicable law permits, OwAI is not responsible for indirect, incidental, special, consequential, or punitive loss arising from the Service, third-party services, or lost or altered media. These Terms do not exclude or limit liability that cannot lawfully be excluded or limited, including liability for fraud or other categories protected by applicable law. They also do not limit mandatory warranties, statutory guarantees, or consumer remedies.

Changes to these Terms

We may update these Terms to reflect changes to the Service, law, security needs, or business operations. The effective date shown on this page identifies the current version. When appropriate, we will give additional notice of a material change through the website, product, account contact information, or another reasonable method. Changes apply prospectively from their stated effective date and do not remove rights that cannot lawfully be changed without your agreement.

Applicable law and disputes

These Terms do not select a governing jurisdiction or require an exclusive forum. The law and courts that apply are determined by otherwise applicable law, including any mandatory protections of the place where you live. Nothing in these Terms requires arbitration or waives a right to bring a claim in a court or other forum available under applicable law.

Before starting a formal dispute, you may contact support@organizewith.ai so we can try to resolve the issue, but doing so does not shorten a legal deadline or prevent you from using a regulator, court, or other process available to you.
